By creating an account, integrating our AI chatbot on your website, or otherwise using the NeloChat service, you agree to these Terms of Use and our Privacy Policy. If you do not agree, you may not use our services.

2. Description of Service

NeloChat provides an AI-powered conversational interface (chatbot) designed to integrate into websites to help engage visitors, answer questions, and drive conversions. We reserve the right to modify, suspend, or discontinue the service at any time with or without notice.

3. User Responsibilities

As a user of NeloChat, you agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Only deploy the NeloChat widget on domains you own or are authorized to manage.
• Ensure that the content you feed to the AI (system prompts, website content) does not violate any laws or third-party rights.

4. Prohibited Uses

You may not use NeloChat to:

• Generate or distribute malicious, illegal, or highly offensive content.
• Attempt to reverse-engineer, decompile, or hack the NeloChat service.
• Exploit the API or token limits beyond your subscribed tier in Bad Faith.
• Collect personally identifiable information from your visitors without proper consent and disclosure.

5. Subscription, Tokens, and Billing

NeloChat operates on a subscription model based on AI Token usage. By subscribing to a paid tier, you agree to provide valid billing information. Downgrading or canceling your plan will take effect at the end of your current billing cycle. No refunds are provided for partial months.

5.1 AI Token Conversion

AI Tokens represent a unit of account for AI resource consumption. The conversion rate between AI Tokens and user messages is an estimate and is subject to change without notice based on AI model operating costs and technical improvements. NeloChat strives to provide transparent and fair value for your token usage.

6. Limitation of Liability

While NeloChat strives for high availability and accurate AI responses, we do not guarantee that the service will be error-free or uninterrupted. NeloChat will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the service.

7. Intellectual Property

NeloChat, its branding, code, and proprietary algorithms are the property of NeloChat. You retain all rights to your own website content and the specific conversation transcripts generated by your visitors, subject to our Privacy Policy.

8. Changes to Terms

We may update these terms periodically. Continued use of the service after such changes constitutes your consent to the updated terms.
